Your FoneX bundle of services is provided to you by FoneX Technologies Private Limited. These services are provided to you on a paid for basis.  Please read the terms and conditions below carefully.

  1. DEFINITIONS

 

  1. Where the following words are used in the Terms & Conditions; they will have the meanings as shown below:

 

Administrator/Facilitator/Coordinator Universal Insurance Brokers Services Private Limited (UIBSPL) & its ancillary partner’s if any;
Beneficiary/User the Purchaser of the insured equipment, whose name is as shown on the Invoice. However, his/her Spouse, Children & Parents can use the equipment. Where the purchaser is a company, beneficiary/user shall be representative/employee of the company authorised to use the Equipment. If connection is in different name SIM owner’s ID proof must be submitted with claim papers;
Bundle the bundle of individual Services you have purchased, as confirmed in your Welcome E-Mail;
Claim reimbursement for the cost of repair or depreciated value of your device;
Connect/Connecting connecting with a Service Provider to use the services provided by the Service Provider and to share with the Service Provider the information they request;
Contract the agreement between you and FoneX based on these Terms and Conditions;
Cover Period 12 months from the date of 1st purchase of equipment along with insured product or services;
Device Fee the price inclusive of all taxes that a customer pays for a Subscription;
FoneX App the mobile application provided by FoneX to you via which you can access the Services;
Insured FoneX Technologies Private Limited for the benefit of their end customers;
Insured Equipment product(s) purchased as shown on purchase Invoice, for product category such as Mobiles, Tablets/Phablets (both Data & Voice) –  SIM based;
Intellectual Property Rights patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), rights in computer software, rights in source code and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world;
IT Partner Uniware IT Enabled Services Private Limited (Back-hand for UIB);
Medium Insured certified/owned retailers, distributors, web, online & app channels including all their associates
Product a physical device and/or online services and/or value-added services and/or applications provided to you as part of your Subscription;
Proof of Address a utility bill addressed to you that is less than three months old or a valid Indian-registered drivers licence or a Government issued document (Aadhar card, Passport);
Proof of Purchase a copy of the original invoice for the purchase of your insured device;
Service Provider a third-party organisation that provides services, features and applications that form part of the Services;
Service/Services the individual paid-for and non-paid-for services and applications (including the FoneX App) that form the bundle in respect of which you have purchased a Subscription;
Start Date start date of your Subscription;
Subscription your subscription to the FoneX Mobile app bundle;
Subscription Period time frame for which your subscription to the FoneX Mobile app is valid;
Sum Insured Equipment value as mentioned in the purchase invoice (excluding G.S.T);
Welcome SMS/E-Mail communication you receive from us post purchase of the bundle;
You, Your  the person who has purchased, and is entitled to use, the Subscription in accordance with the Welcome E-mail.

 

 

  1. THE CONTRACT

 

  1. Subject to section 2.2; these Terms and Conditions govern the sale and provision of the Services by us and your Subscription will form the basis of the Contract. If you are unsure about any part of these Terms and Conditions, please request clarification from us.

 

  1. If as part of your Subscription you purchase or are given Services provided by a Service Provider, you will be required to read and accept the Service Provider’s terms and conditions. These Terms and Conditions will not apply to your use of each Service Provider’s services and FoneX shall not be liable for the Services provided by the Service Provider. Any claim you have in respect of a Service that is provided by a Service Provider shall be made directly against the Service Provider and not against or via FoneX. Contact details of each Service Provider shall be available via the applications that form part of the Service Provider’s Services, on the FoneX website (www.fonex.in) and/or by contacting FoneX.

 

2.3   The Contract will be created at the point you pay the Fee or agree to receive free services (the “Start Date”) and will be subject to these Terms and Conditions, which will be sent to you in the e-mail that confirms your purchase of the Subscription (the “Welcome SMS/E-Mail”).

 

 

  1. INFORMATION MADE AVAILABLE TO YOU

 

  1. We shall ensure the following information is given or made available to you prior to the formation of the Contract (whether by email or otherwise):

 

  1. confirmation of the Services that are included in your Bundle and the main characteristics of the Services;

 

  1. our contact details;

 

  1. the applicable fee;

 

  1. the arrangements for payment, performance and the time by which (or within which) we will endeavour to send you the Welcome SMS/E-Mail and the link (in accordance with section 4.1), and enable you to access the Services;

 

  1. details of after sales service (wherever applicable);

 

  1. cancellation information;

 

  1. the duration of the Subscription (including information in respect of your Subscription being automatically extended), the conditions for terminating the Subscription and your eligibility for a refund (if applicable); and

 

  1. where applicable, any relevant compatibility of digital content with hardware and software that we are aware of.

 

 

 

  1. FoneX SUBSCRIPTION

Following your purchase of our agreement to receive a Subscription, you will be issued with a link to download the FoneX App and register. Your Membership provides you with access to the FoneX App and Services within it (as confirmed by us). Payment of the Fee or agreement to receive a subscription free of charge shall entitle you to access the Services included within your Bundle.

 

  1. As part of your Subscription you will have access to the Services which will be made available to you via the FoneX App.

 

  1. We shall use reasonable endeavours to ensure the Services are available to you at all times, and we don’t envisage you being affected by any maintenance work we may need to carry out in respect of the Services. There may, however, be times when, due to circumstances beyond our control, the Services cannot be accessed by you. We will, where possible, provide you with notification of any periods in which the Services will not be accessible.

 

  1. You have been offered and by accepting these Terms and Conditions; you accept provision of, the Services included within your Bundle. The Services you will have access to, and which form your Bundle, will be confirmed prior to your purchase of or agreement to receive the Subscription and in the Welcome SMS/E-mail. All Services you will have access to are listed in section 7 of these Terms and Conditions. Further information in respect of the Services is available here: fonex.in

 

  1. Whilst we will always do our best to deliver Services in a timely manner, we cannot guarantee that the Services will always be delivered and/or accessible exactly on time and/or in accordance with the time estimates we provide to you.

 

  1. Your Subscription is for 12 months (“Subscription Period”) from the Start Date unless you cancel the subscription in accordance with section 2. The Services are for 12 months, after which point your Subscription will end unless you have purchased additional services during the Subscription Period.

 

  1. We will intimate you at least 45 days before the expiry of the Subscription Period or the Subsequent Term (as applicable) to notify you that your Subscription will end on expiry of the Subscription Period or Subsequent Term (as applicable) unless you choose to lapse your Subscription.

 

  1. In case of any special offer(s), we will write to you at least 7 days before the expiry of the Subscription Period to notify you that your Subscription will end on expiry of the Subscription Period unless you choose to lapse your Subscription.

 

  1. You also have a right to cancel your subscription in the first 7 days of the Subscription Period with a full refund by emailing us at care@fonex.in or by writing to us at iKeva, Level LG – 02 & 03, Art Guild House, Phoenix Market City, LBS Marg, Kurla (W), BKC Annexe, Mumbai – 400070, Maharashtra, India.

 

  1. If you cancel your Subscription, your Subscription will be cancelled promptly following receipt by us of notification from you that you wish to cancel your Subscription. All services provided to you will cease to operate post the cancellation of subscription.

 

  1. In case of any Special Offer(s), there will be no option to cancel your subscription.

 

  1. We have the right to cancel your Subscription and/or the Contract on notice to you and without any liability to you at any time; If, at any time, you:

 

  1. give us false information, or withhold from us any important information, in relation to you or your Subscription;

 

  1. are abusive, offensive, discriminatory or threatening to any of FoneX’s and/or their Administrators/Facilitators/Coordinators’ employees or representatives whether in person, by e-mail or on the telephone;

 

  1. attempt to defraud us or act dishonestly towards us;

 

  1. commit a breach of the Contract;

 

  1. In addition to our cancellation rights; we have the right to cancel your Subscription for any reason by giving you at least 1 months’ notice. If we choose to exercise our right under this clause, we will refund to you on a pro rata basis a sum equal to any Fee you have paid for the months remaining in the Subscription Period or Subsequent Term (as applicable) following the month in which we cancel your Subscription.

 

  1. If we decide to cancel your Subscription for any of the reasons above, your Subscription will end on the date set out in our cancellation notice to you.

 

 

  1. INFORMATION SECURITY

 

  1. At FoneX, we believe that you should have complete control over which organisations have access to your information, what information they have access to and how long they can access the information.

 

  1. Information collected about you to manage your Subscription and/or Services is stored securely. The information stored is encrypted and neither we nor any other third party can access it without your consent, so it is safe.

 

 

  1. FoneX APP

 

  1. The FoneX App allows you to access the Services and connects the Services to enable the sharing of the information stored in your app with the Services and, if relevant, with the Service Providers.

 

  1. If you provide additional information via the Service Provider’s Service, it will be automatically stored in your app. Your acceptance of these Terms and Conditions amounts to acceptance of the storing of your information in the app.

 

  1. To benefit from Services provided by a Service Provider, the Service Provider may need certain information from you. You will be notified as to what information the Service Provider requires. By Connecting with the Service Provider via the FoneX App, you are deemed to consent to the Service Provider’s terms and conditions and to the release of information requested by the Service Provider. FoneX shall not be liable for the Services provided by a Service Provider.
  1. FoneX SERVICES

 

  1. The Services provided via the FoneX App are outlined below. The Services included in your Bundle will be confirmed to you prior to your purchase of a Subscription and in the Welcome E-Mail.

 

  1. AssureX

Services offered under AssureX, protect your insured device from various perils and empower you with storage of your important cards, documents, etc and allows you to access important numbers of your bank, financial institutions; in case you ever lose your wallet. Also, simply your shopping with the best price discovery portal.

 

  1. SecureX
    1. FoneX provides the SecureX service;

 

  1. Using the SecureX Service, you can store images and/or information about your payment cards or documents (including, for example, passport, driving license, ID card) securely in your FoneX App. The images and information you share will only be accessible via your FoneX App and are not stored on your device.

 

  1. This Service can be connected with other Services provided by FoneX and/or Service Providers, enabling you to upload images or information about your cards or documents for use with other Services.

 

  1. Using this service, you can access the customer care numbers of various banks and financial institutions. The information shared here is subject to the information available on the bank’s and/or financial institutions website. FoneX would take up to 30-45 days to update any such information modified by the bank and/or financial institution. FoneX will not be liable for any mis-representation of information or for any losses arising from this information not being available or accessible by the user on the FoneX app.

 

  1. FoneX shall not be responsible if any images and/or information you have uploaded to the FoneX App are unavailable and/or no longer accessible by you on the FoneX App. We recommend you retain copies of all your information, including information you have uploaded on to the FoneX App, elsewhere.

 

  1. FoneX shall at all times try their best to provide you with these services uninterrupted; but shall not be responsible for any stoppage, hinderance or interruption in these services for any technical, natural or any other reason whatsoever.

 

 

  1. Scandid
    1. Definitions

Welcome to http://www.Scandid.in. This is a legal document which dictates all the terms and conditions for the use of http://www.Scandid.in the website as well as the Mobile application on Google Play Store. The Product search, Offers, Coupons and Cashback Service is operated by Wishpoint Tech Private Limited (“we”, “us”, “Company” or “Scandid.in” or “Scandid mobile app”). Please read these terms of service (“Terms of Service” or “Agreement”) carefully as they contain the legal terms and conditions that you agree to when you register and use the service provided by us. The Terms and Conditions may be subject to change in the future as per clause 14 on Modification of Terms. Merchants/Stores/Retailers are the ecommerce websites where you are transacting, and they deliver the products/services to you. They give us a commission/payout/referral fee for valid transactions (as tracked through them or via the affiliate ad networks) and we share most of that commission as cashback with you. Affiliate Ad networks are the networks like Optimise, Payoom, Cuelinks, Trootrac, icubeswire and others one who enable tracking for completed transactions with the ecommerce stores.

 

  1. Our Service Introduction

http://www.Scandid.in or Scandid mobile app enables registered users to be able to get savings in the form of Scandid Rewards for transactions completed on online retailers/merchants’ websites or on their mobile apps where tracking is enabled (currently Flipkart, Snapdeal and Shopclues). In addition to Scandid Rewards, we also provide information about other offers/sales/discounts/deals/coupon codes from merchants/stores as well as from Banks for online transactions. (We also provide you information about prices of products in many categories for some of the top stores like Flipkart, Snapdeal, Amazon, Shopclues and many more. The prices are the ones which we obtain using our automated software ‘crawlers/scrapers ‘from the ecommerce websites or via the price/product feeds sent by the ecommerce websites directly or through affiliate ad networks. While it is our best effort to keep the prices listed on our website up to date, however, the ecommerce websites may change their prices more often than we are able to update our prices and thus there sometimes be a difference in prices listed on our website and on the ecommerce website as well as differences in the prices on their websites and their mobile apps, however you will always be able to see the most updated price on the ecommerce websites once you are re-directed there. We will enable intelligent comparison of offers by enabling you to see the best combination of offers. You can also refer to our help pages and other documentation on http://www.Scandid.in in case you seek more information or have any queries regarding our services.

 

  1. Your membership Information

We enable registration for our service on our website and mobile app using your Google ID or Facebook profile, we can only provide Scandid Rewards in the form of Flipkart Gift Vouchers and Paytm Recharge/Bill Payments/Movie Tickets Cashbacks in the form of Paytm Cash. You must be above 18 years of age to be able to use our website/mobile app. Important: You must ensure that you use correct information (email address, mobile number etc) to register for the service. We only allow one account per person (we use multiple criterion to qualify unique users like email address, mobile number, device ID & mobile number for mobile app amongst other criterion) and change in email address is not permitted, hence you must ensure that you have access to the email address that you use to register for the service. In case you lose access to this email address in the future, you will have to register for the service again and will not be able to avail of the Scandid Reward in your previous account.

 

  1. Cashback, Price Comparison and Other Offers

When you complete a valid transaction at one of our partner ecommerce websites (either online or through their mobile browser or mobile application(PS: Only few partners like Flipkart, Shopclues gives commissions for Mobile app transactions) and once we receive the payout/commission from them for such valid and tracked transactions, then part of this will be passed to you as cashback as per the cashback amount that was communicated on our website/ as per the payout given to us by the ecommerce website. A valid transaction is defined as one where a registered user was logged in and clicked out and completed a transaction on one of our partner websites and if a coupon code was used then it was from our website (Bank Offers which we mention on our website may not qualify for Scandid Rewards. Please note that whether or not a transaction shall qualify as a valid transaction for Cashback is completely at the sole discretion of the Store or Scandid and our customers have to understand and agree to the same. Scandid cannot be not be held responsible if the stores or the stores network fail to report a sale to us or do not qualify a transaction as valid Transaction for cashback. Also, Scandid cannot be held responsible in the event due to some technical, network or other error we cannot trace a sale back to our customer and does not qualify the transaction as a valid transaction for cashback for any reason whatsoever. Please note that tracking does not work effectively on the mobile for such transactions for mobile web to mobile web or mobile app redirection and thus we cannot be held responsible if you transacted on the mobile web version of our website or the mobile app and the Cashback did not track as a number of merchants/stores have not yet enabled mobile tracking on their mobile apps / mobile browsers however, we will on best effort basis only try to display those offers on our mobile app where mobile tracking has been enabled by the stores.

 

  1. Missing Reward Enquiries and requests

If your Scandid Reward has not tracked in pending status within 72 hours or has tracked at a lower amount, then you may be able to raise a missing Scandid Reward request but only up to 10 days from the date of your transaction as merchants will not answer any queries about tracking Scandid Rewards/Paytm Cashbacks in pending status after 10 days of transacting. While we will make the best efforts in following up with the merchants to track your Scandid Rewards/Paytm Cashbacks, however, the decision of the merchants/stores is final and binding. We also reserve the right to close any missing Scandid Rewards/Paytm Cashbacks claim requests if so required specially if no purchase has been made or purchase has been cancelled. We shall not be liable for any rejected cashback claims or where the amount tracked is lower than expected. The process for tracking missing Rewards requests is that our system will only allow the customer to enter a request for the stores where a click id was generated when the customer clicked out from our website to that store. We save all such Clickout ID’s in our database for being able to cross reference Scandid Rewards/Paytm Cashbacks amounts and such queries, thus if the customer did not click out from our website then they would not be able to raise a missing cashback request for such transactions. Also, most stores will not allow us to raise queries about transactions where the cashback payout has been declined by them or where the amount is different from what the customer expected. We will try our best to raise such queries with the stores but cannot be held responsible if the stores do not support such queries. If the stores do not respond to a particular query for more than 6 months, then we may reserve the right to close such tickets. We may be required to make balance adjustments sometimes for Rewards amounts and reserve the right to be able to do so when we may have given the credit in error or otherwise (whether when the Reward was not genuinely due or when we do not receive the payment from the store or their network/agency for misuse/fraud or other reasons).

 

  1. Active and Inactive Accounts

We reserve the right to classify accounts as active (if a customer has logged into their account in 12 months) and inactive (if a customer has not logged into their account in 12 months). Customers must thus log into their account at least once a year in order to keep their accounts active. We shall not be liable for any cashback that is forfeited in case their account is classified as inactive and if the amount of cashback in payable status is below the minimum threshold for redemption, then we may charge a small fee for redemption of such amount.

 

  1. Scandid Role

Scandid is only an price comparison portal and mobile app which aggregates prices, discounts, offers & coupons. Scandid offers Rewards to consumers is given out of the commission that is shared by retailers/merchants/stores for completed and valid transactions and we ourselves are not involved in selling/supplying the actual goods or services and are thus free from any liability, warranty or legal obligations that may be applicable to the sellers of those goods and services. Thus please note that we are not responsible for any of the below: – The quality, merchantability, safety or legality of goods and services supplied by partner websites/stores/merchants/retailers- Whether or not the retailers deliver the goods or services to customers as we will only get information from the stores- If price changes happen often on the retailers websites and are not updated on our website – If the retailers refuse to give the commission for transactions completed by customers as per reasons described above- If stores/banks gave an offer directly or through the affiliate networks which are invalid before their expiry You, our customer’s must exercise caution while transacting online with retailers/stores. You will release us and our agents from all claims or liability arising out of any of the above issues.

 

  1. Your Conduct

You, the customer must not use the Website or Mobile Application in any way that causes, or is likely to cause, the Website or access to it to be interrupted, damaged or impaired in any way. You understand that you, and not the Website/mobile app, are responsible for all electronic communications and content sent from your computer to us and you must use the Website for lawful purposes only. You must not use the Website for any of the following: a. For fraudulent purposes, or in connection with a criminal offense or other unlawful activity. To send, use or reuse any material that does not belong to you; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libellous, obscene, pornographic, paedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any “spam”; orc. To cause annoyance, inconvenience or needless anxiety.

 

  1. Copyright and Trademarks

Everything located on or in this Site, including the Microsites, is the exclusive property of Scandid, Inc. or used with express permission of the copyright and/or trademark owner. Any copying, distributing, transmitting, posting, linking, deep linking, or otherwise modifying of this site or any of the microsites without the express written permission of Scandid, Inc. is strictly prohibited. Any violation of this policy may result in a copyright, trademark or other intellectual property right infringement that may subject End User to civil and/or criminal penalties.

 

This Site and any Microsites contain copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of the Site are protected by copyright as a collective work under the United States copyright laws. Scandid owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. End User may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. End User may download, print, and/or save copyrighted material for End User’s personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Scandid or the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. End User acknowledges that he/she/it does not acquire any ownership rights by downloading copyrighted material. Trademarks that are located within or on the Site or a Microsite otherwise owned or operated in conjunction with Scandid shall not be deemed to be in the public domain but rather the exclusive property of Scandid, unless such site is under license from the Trademark owner thereof, in which case such license is for the exclusive benefit and use of Scandid unless otherwise stated.

 

End User shall not upload, post or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. Scandid does not have any express burden or responsibility to provide End User with indications, markings or anything else that may aid End User in determining whether the material in question is copyrighted or trademarked. End User shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of this Site or any Microsite, End User warrants that the owner of such material has expressly granted Scandid the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. End User also permits any other end user to access, view, store or reproduce the material for that End User’s personal use. End User hereby grants OBaz the right to edit, copy, publish and distribute any material made available on this Site or any Microsite by End User.

 

The foregoing provisions of Section 5 apply equally to and are for the benefit of Scandid, its subsidiaries, affiliates, Merchants and its third-party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf.

 

  1. Copyright Policy

Scandid reserves the right to terminate its agreement with any End User who repeatedly infringes third-party copyright rights upon prompt notification to Scandid by the copyright owner or the copyright owner’s legal agent. Without limiting the foregoing, if you believe that a copyrighted work has been copied and posted via the Site or any Microsite in a way that constitutes copyright infringement, you shall provide Scandid with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work; (b) an identification and location on the Site or any Microsite of the copyrighted work that you claim has been infringed; (c) a written statement by you that you have a good faith belief that the disputed use is not authorized by the owner, its agent, or the law; (d) your name and contact information, such as telephone number or e-mail address; and (e) a statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.   1. Disclaimer of Warranty

End user expressly agrees that use of this site and the microsites is at end user’s sole risk.   1. Monitoring

Scandid shall have the right, but not the obligation, to monitor the content of the Site and any Microsites at all times, including any chat rooms and forums that may hereinafter be included as part of the Site, to determine compliance with this Agreement and any operating rules established by Scandid, as well as to satisfy any applicable law, regulation or authorized government request. Without limiting the foregoing, Scandid shall have the right, but not the obligation, to remove any material that Scandid, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

 

  1. Privacy

End User acknowledges that all discussion for ratings, comments, bulletin board service, chat rooms and/or other message or communication facilities (collectively “Communities”) are public and not private communications, and that, therefore, others may read End User’s communications without End User’s knowledge. Scandid does not control or endorse the content, messages or information found in any Community, and, therefore, Scandid specifically disclaims any liability concerning the Communities and any actions resulting from End Users’ participation in any Community, including any objectionable content. Generally, any communication which End User posts to OBaz (whether in chat rooms, discussion groups, message boards or otherwise) is considered to be non-confidential. If particular web pages permit the submission of communications that will be treated by Scandid as confidential, that fact will be stated on those pages. By posting comments, messages or other information on the Site or any Microsite, End User grants Scandid the right to use such comments, messages or information for promotions, advertising, market research or any other lawful purpose without territorial, time or other limitation.   1. License Grant

By posting communications on or through this Site or any Microsite, End User shall be deemed to have granted to Scandid a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed without territorial or time limitations, and to sublicense such rights through multiple tiers of sublicensees.

 

  1. Indemnification/Release

End User agrees to defend, indemnify and hold harmless Scandid, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to any products or services purchased by End User in connection with the Site or any Microsites.

 

End User is solely responsible for interactions with Merchants and other users of the Site or Microsites. To the extent permitted under applicable laws, End User hereby releases Scandid from any and all claims or liability related to any product or service of a Merchant, any action or in-action by Merchant, including Merchant’s failure to comply with applicable law and/or failure to abide by the terms of a Voucher, and any conduct or speech, whether online or offline, of any other user.

 

In connection with the foregoing release, End User hereby waives California Civil Code Section 1542 (and any similar provision in any other jurisdiction) which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favour at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”

 

  1. Termination

Scandid may terminate this Agreement at any time. Without limiting the foregoing, Scandid shall have the right to immediately terminate or suspend any passwords or accounts of End User in the event of any conduct by End User or which Scandid, in its sole discretion, considers to be unacceptable, or in the event of any breach by End User of this Agreement. The provisions of Sections 2, 4, 5, 6, 7, 10, 11, and 12 will survive termination of this Agreement.

 

  1. Trademarks

Scandid is a trademark of Scandid, Inc. All rights in respect of this trademark are hereby expressly reserved. Unless otherwise indicated, all other trademarks appearing on Scandid are the property of their respective owners.

 

  1. Third-Party Content

Scandid, similar to an Internet Service Provider, is a distributor (and not a publisher) of content supplied by third parties and End Users. Accordingly, Scandid Test has no more editorial control over such content than does a public library, bookstore or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, or any other end users are those of the respective author(s) or distributor(s) and not of Scandid.

 

In many instances, the content available through this Site represents the opinions and judgments of the respective information provider, end user, or other user not under contract with Scandid. Scandid neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on Scandid by anyone other than authorized Scandid employee spokespersons while acting in official capacities. Under no circumstances will Scandid be liable for any loss or damage caused by an end user’s reliance on information obtained through Scandid. If End User decides to access linked third-party websites, End User does so at its own risk. Unless you have executed a written agreement with Scandid expressly permitting you to do so, you may not provide a hyperlink to the Site or any Microsite from any other website. Scandid reserves the right to revoke its consent to any link at any time in its sole discretion.

 

  1. Miscellaneous

This Agreement, including the Terms of Sale set forth below (which are incorporated into this Agreement), and any operating rules for Scandid established by Scandid, constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by either party of any breach or default hereunder is a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall be of no legal force or effect. If any provision of this Agreement is held invalid by a court of competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement, and the remaining portions of this Agreement shall continue in full force and effect. The failure of either party to exercise any of its rights under this Agreement shall not be deemed a waiver or forfeiture of such rights or any other rights provided hereunder.

 

  1. Arbitration

By using this Site, End User agrees that: (1) any claim, dispute, or controversy End User may have against Scandid arising out of, relating to, or connected in any way with this Agreement, this Site, or any Microsite, or the purchase or sale of any Voucher(s), shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator pursuant to the applicable Rules and Procedures established by AAA (“Rules and Procedures”); (2) the arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures (provided that such location is reasonably convenient for End User), or at such other location as may be mutually agreed upon by End User and Scandid; (3) the arbitrator shall apply Illinois law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honour claims of privilege recognized at law; (4) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the End User’s and/or Scandid individual claims; and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (5) in the event that the End User is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Scandid will pay as much of the End User’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (6) with the exception of subpart (4) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (4) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither End User nor Scandid shall be entitled to arbitrate their dispute.   2. Scandid App would always make the best efforts on its part to recover non-payments and missing Scandid Rewards from the retailers.   1. Suffers accidental physical damage to the Insured Equipment and/or such damage cause’s equipment to stop working.

 

  1. Fails to work because accidentally fluid has entered its internal circuitry, resulting into stoppage of the insured equipment.

  1. Compensation
    1. Total Loss:

Compensation for any Total Loss claims will be by way of replacement vide payment through ICICI Lombard General Insurance. Maximum liability shall be Sum Insured, subject to excess and depreciation depending on age of insured equipment from date of purchase at the date & time of loss.

 

  1. Partial Loss: –

Compensation for any Partial Loss claims will be by way of repair to the insured equipment and reimbursement by way of NEFT/payment to the beneficiary or insured account by suitable mode. Maximum liability shall be cost of spares (excluding taxes, VAT, etc), subject to excess. If the repair cost or maximum liability at the date of loss exceeds the total loss settlement, insurer shall settle the claim on total loss under BER (Beyond Economic Repair).

 

  1. Excess is minimum value which shall be deducted in each and every claim. Excess is 5% or RS 500 of the claim value, whichever is higher.

 

  1. Compensation approved for replacement can be utilised for purchase of same single equipment only. Once the compensation is agreed this replacement is expected to be redeemed within 30 days from Insured designated outlets, failing which the claim approval shall be forfeited.

 

  1. If the replacement or repair value is more than the compensation payable, beneficiary must bear the difference between repair or replacement value and approved amount.

In the event of loss; Beneficiary is required to do following steps:

This Complimentary Insurance is available to the original buyer only and is non-transformable/non-assignable. The Complimentary Insurance seizes in case the original buyer of the handset (name on purchase invoice) & the owner of Insurance Policy (name on Certificate of Insurance) are found to be different;

 

  1. Only your device (mobile phone) is covered. SIM(s) and accessories are not covered;

 

  1. You have not made any previous claims on the policy during the policy period;

FoneX uses various analytic tools, which track your usage of the FoneX App. We use these tools to collect information about your activity on the FoneX App. We collect information in an anonymous form about your usage of the FoneX App, including the number of times you use it and the functions of the FoneX App that you use. Our analytic tools send anonymous non-personally identifiable data to remote servers where the data is aggregated and presented back to us as analytical data about the use of the FoneX App by our subscribers. We use the information to compile reports and to help us improve the FoneX App. So, for example we may know how many people use a certain function within the FoneX App, but we would not know if you were one of those people.

 

The information we collect cannot be used by anyone else who has access to your mobile device to find out anything about you. The tracking we perform does not in any way compromise the security of your device.

 

We are unable to use the information collected about your usage to identify you personally.

  2. To provide you with the services and features of your subscription;

    1. Your Personal Information

Your personal information will only be made available to FoneX’s authorised service provider’s and third-party suppliers which perform certain services on FoneX’s behalf e.g. providing IT support and maintenance, providing hosting services, providing customer service, providing payment processing services and providing features of the subscription. These service providers may have access to personal information needed to perform their functions on FoneX’s behalf but are not permitted to share or to use such information for any other purpose. FoneX will not share your personal information without your permission to any other third party.

FoneX uses cloud services, for the collection & storage of personal information. In addition, FoneX maintains electronic and procedural safeguards in connection with the collection, storage and disclosure of any personally identifiable customer information. Our security procedures mean that we may occasionally request proof of identity before we disclose personal information to you. It is important for you to protect against unauthorised access to your password and to your computer. Be sure to sign off when you finish using a shared computer.

    1. The Contract is between you and us. It is not intended to benefit any other person or third party in any way and no such person or party will be entitled to enforce any provision of the Contract.

If any of the provisions of these Terms and Conditions are found to be unlawful, invalid or otherwise unenforceable by any court or other authority, the provision or part provision shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the provision shall be deemed deleted. Any modification or deletion shall not affect the validity and enforceability of the rest of the Contract.

 

  1. No failure or delay by us in exercising any of our rights under these Terms and Conditions means that we have waived that right, and no waiver by us of a breach of any provision of these Terms and Conditions means that we will waive any subsequent breach of the same or any other provision.

 

 

  1. Intellectual Property Rights
    1. All Intellectual Property Rights arising out of or in connection with the Services and/or the Contract shall, as between you and us, be owned by us.

 

  1. FoneX retains all rights in and to its patents, patent applications, patent disclosures, inventions and improvements (whether patentable or not), copyrights and copyrightable works (including computer programs) and registrations and applications therefore, including any software, firmware or source code, trade secrets, know-how, database rights, drawings and all other forms of intellectual property (other than trademarks) (collectively, Intellectual Property) created, developed or conceived prior to the Effective Date or outside the performance of Services and, in each case, without use of or access to any Confidential Information of the other Party. To the extent FoneX creates any updates, derivative works, changes or modifications of any Intellectual Property owned by FoneX or Intellectual Property incorporating any FoneX Confidential Information in performance of the Services, such updates, derivative works, changes, modifications or Intellectual Property (FoneX mobile app) will be owned solely by FoneX Technologies Private Limited (except to any portion thereof that incorporates any Intellectual Property or Confidential Information of any other Service Provider, which portion, if any, shall continue to be owned solely by FoneX), and hereby FoneX irrevocably assigns all rights, titles, and interests in and to the FoneX mobile app, including all Intellectual Property therein to the extent set forth, and subject to the limitations of the above Terms & Conditions. All other work product created by FoneX in performance of the Services (FoneX Mobile app) and all Intellectual Property therein will be owned solely by FoneX.

 

 

  1. Changes to these Terms and Conditions
    1. We have the right to revise and amend the Terms and Conditions from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in law, regulation or the requirements of a government or regulatory authority and changes in payment methods.

 

  1. If we have to revise the Terms and Conditions, we will contact you to give you notice of any changes that affect you. If you do not wish to accept the revised Terms and Conditions, you will be able to cancel your Contract in accordance with section 8 and, subject to the terms of section 8, receive a refund for any Fees you have paid in respect of the period following cancellation. Otherwise, any changes to the Terms and Conditions will be made at the time of renewal of your Subscription and, if changes are applicable, we will send you updated Terms and Conditions containing the changes with your renewal documentation.

 

  1. HOW WE USE YOUR PERSONAL INFORMATION

    1. These terms and conditions are governed by and must be interpreted in line with the laws of the Republic of India.

 

  1. We and You agree that all the disputes/differences arising out of or in relation to this Agreement shall be referred to the exclusive jurisdiction of and settled only by the courts of Mumbai. You and We agree that terms and all other communications will be issued in English.
